I believe that rpm is looking for the packaged version of python-setuptools, but you installed it via pypi. I think the best solution is to yum install python-setuptools, then try again.
yum install impala-shell-1.2.4-1.p0.420.el6.x86_64.rpm
python-setuptools is needed by impala-shell-1.2.3-1.p0.352.el6.x86_64
